Insurance Requirements

For Chartered Aircraft

Service Provider shall procure and maintain, until all of their obligations including any warranty periods under this Contract are satisfied, insurance against claims for injury to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Service Provider, its agents, representatives, employees or subcontractors.

The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in the Contract.  The University in no way warrants that the minimum limits contained herein are sufficient to protect the Service Provider from liabilities that might arise out of the performance of the work under this Contract by the Service Provider, its agents, representatives, employees or subcontractors, and Service Provider is free to purchase additional insurance.

A. MINIMUM SCOPE AND LIMITS OF INSURANCE

Service Provider shall procure and maintain the minimum insurance coverages set forth below.

  1. Comprehensive Aircraft Liability
    Policy shall include bodily injury, bodily injury, and property damage to third parties, passenger liability, contractual liability, and completed operations liability.
    • No less than $7,500,000 times the number of seats on the aircraft
    • No less than $50,000,000 per occurrence
    • No sub-limits for passenger bodily injury
    • Certificate must specifically state that charter use is permitted by the carrier
    • Certificate shall evidence the policy coverage territory
    • Charter operator must provide evidence the liability coverage includes war, hijacking, and other peril insurance.  Any sub-limits should be specifically outlined.
  2. Worker’s Compensation/Employers’ Liability
    Workers compensation for losses arising from work performed by or on behalf of the Service Provider.
    • State Fund or Self-Insurance: Statutory
    • Proof of Employers’ Liability: $1,000,000

B. ADDITIONAL REQUIREMENTS

All policies shall meet the requirements below.

  1. With the exception of Worker’s Compensation and Employer’s Liability coverage, shall be endorsed to include “Wright State University and its governing board, officers, agents and employees” as additional insured with respect to liability arising out of the activities performed by or on behalf of the Service Provider.       
  2. Shall be endorsed to apply on a primary basis, non-contributory with any other insurance coverages and/or self-insurance carried by the University.
  3. The charter operator’s insurer agrees that the insurance afforded to WSU shall not be invalidated by an act or neglect by the operator whether or not such act or neglect is a breach or violation of any warranties, declarations or conditions of the charter operator’s policy.  WSU must not have caused or knowingly condoned the said act or neglect.
  4. Shall contain a waiver of subrogation in favor of Wright State University and its governing board, officers, agents and employees for losses arising from work performed by or on behalf of the Service Provider.
  5. Limits can be met with a combination of primary and/or excess/umbrella coverage or equivalent.
  6. Coverage provided by the Service Provider shall not be limited to the liability assumed under the indemnification provisions.

C. NOTICE OF CANCELLATION

Each insurance policy required by the insurance provisions of this Contract shall provide the required coverage and shall not be canceled or materially changed except after prior written notice has been given to the University.  Such notice shall be sent directly to WSU’s Risk Management department.

D. ACCEPTABILITY OF INSURERS

Insurance is to be placed with duly licensed or approved non-admitted insurers in the State of Ohio.

E. VERIFICATION OF COVERAGE

Service Provider shall furnish the University with certificates of insurance (ACORD form or equivalent) as required by this Contract, along with a copy of required policy endorsements upon request.  The certificate for each insurance policy are to be signed by a person authorized by that insurer to evidence coverage on its behalf.  Each certificate required by this contract must be in effect at or prior to commencement of work under this Contract and remain in effect for the duration of the Contract.  Failure to maintain the insurance policies as required by this Contract or to provide evidence of renewal, is a material breach of contract.

F. SUBCONTRACTORS

Service provider certificates shall evidence that all subcontractors are included as insured under its policies or Service Provider shall furnish to the University separate certificates and endorsements for each subcontractor.  All coverage for subcontractors shall be subject to the minimum requirements identified above.

G. DOCUMENT SUBMISSION

Certificates of insurance, notices of cancellation, and any other documentation as required by the insurance provisions of this Contract shall be sent to:

H. HIGHER LIMITS

If the Contractor maintains higher limits than the minimums shown above, WSU requires and will be entitled to coverage for the higher limits maintained by the Contractor.  Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage will be available to WSU.

For Goods and Services (Non-construction)

The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in the Contract.  The University in no way warrants that the minimum limits contained herein are sufficient to protect the Service Provider from liabilities that might arise out of the performance of the work under this Contract by the Service Provider, its agents, representatives, employees or subcontractors, and Service Provider is free to purchase additional insurance.

    • General Aggregate: $2,000,000
  2. Worker’s Compensation/Employers’ Liability
    Workers compensation for losses arising from work performed by or on behalf of the Service Provider.
    • State Fund or Self-Insurance: Statutory
    • Proof of Employers’ Liability: $1,000,000
  3. Business Automobile
    Bodily injury and property damage for any owned, leased, hired and non-owned vehicles used in the performance of the contract.  Service Provider transporting WSU property/people or the use of a vehicle during performance of the Contract.
    • Combined Single Limit: $1,000,000
  4. Professional Liability (Errors & Omissions) – applicable when contract includes:
    Licensed or certified professionals. Policy shall be appropriate to the Service Providers profession, and coverage shall be maintained for a period of three years after coverage term.
    • Professional Service – Architects, Engineers, Accountants, Consultants, etc.
      • Each Occurrence: $1,000,000
      • General Aggregate: $3,000,000
    • Medical Service – Medical Practitioners, Nurses, Counselors, Allied Health, etc.
      • Recommended Each Occurrence: $2,000,000
      • Recommended General Aggregate: $6,000,000
  5. Liquor Liability – applicable when contract includes:
    Service Provider distributing, selling, or serving alcoholic beverages.  Coverage may be provided under the Service Provider’s Commercial General Liability policy or by way of separate policy.
    • Each Occurrence and Aggregate: $1,000,000
  6. Crime Coverage – applicable when contract includes:
    Service Provider has access to cash or payments, networks, PCI, or outsourced services such as custodial, building management, dining, etc.
    • $1,000,000 occurrence/aggregate or fidelity bond of 50% of Contract value or $100,000, whichever is greater and include coverage for Contractor’s employees and not contain a condition requiring arrest or conviction.
  7. Cyber Liability – applicable when contract includes:
    Service Provider has access to credit card information, student or employee records, health records, or any other Personally Identifiable or Protected Health Information.
    • Each event (including Breach Response Services) $1,000,000 minimum; $5,000,000 preferred
  8. Pollution Legal Liability – if applicable when contract includes:
    Required whenever work at issue under this Contract involves potential pollution risk to the environment or losses caused by pollution conditions that may arise from the operations of the Contractor (such as demolition, asbestos abatement, involves hazardous materials, etc.)
    • Each Occurrence: $1,000,000
    • General Aggregate: $3,000,000

I. CLAIMS-MADE POLICIES

If any of the required policies provide claims-made coverage:  1) The retroactive date must be shown and must be before the date of the Contract or the beginning of contract work; 2) Insurance must be maintained and evidence of insurance must be provided for at least 3 years after completion of the contract work; and 3) If coverage is canceled or non-renewed and not replaced with another claims-made policy form with a retroactive date prior to the contract effective date, the Contractor must purchase “extended reporting’ coverage for a minimum of 3 years after the completion of the work.

For Ground Transportation

Service Provider shall procure and maintain, until all of their obligations including any warranty periods under this Contract are satisfied, insurance against claims for injury to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Service Provider, its agents, representatives, employees or subcontractors.

The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in the Contract.  The University in no way warrants that the minimum limits contained herein are sufficient to protect the Service Provider from liabilities that might arise out of the performance of the work under this Contract by the Service Provider, its agents, representatives, employees or subcontractors, and Service Provider is free to purchase additional insurance.

  3. Business Automobile
    Service Provider using buses or road coaches to transport WSU property, people, or use of vehicle is integral to the performance of the Contract:
    • Combined Single Limit per Accident
      • 15 or more passenger capacity: $10,000,000
      • Less than 15 passenger capacity: $5,000,000

B. ADDITIONAL REQUIREMENTS

All policies shall meet the requirements below.

  1.
